The governance of companies is of importance to developing countries due to the link between effective corporate governance and economic development. Ownership and control of public companies, except in the US and UK, is often in the hands of a few individuals, families or corporate groups and impact on corporate governance and economic development.Using Sri Lanka as an illustrative example, Corporate Ownership and Control sets out the implications of corporate ownership and control structures on the governance of companies, and suggests a reform agenda to meet the challenges posed by such structures. Any analysis into the reform of corporate governance in developing countries should begin with a focus on the local market structures that define its adaptation and effectiveness. The issues explored in the book provide an insight into ownership and control structures in Sri Lanka, the costs and benefits of such structures, and the necessary reform framework to promote effective corporate governance. The analysis can be used to both understand the impact of ownership structures on corporate governance, and suggest how corporate governance issues arising from such structures should be resolved in order to promote economic development and growth.

Fully modern corporations appeared in fourteenth-century Toulouse, much earlier than previously believed Germain Sicard proves that Europe's first corporations were fourteenth-century mill companies operating in Toulouse, rather than seventeenth-century English and Dutch trading companies as commonly believed. He shows that the corporate form derives from a unique ownership contract from Medieval Europe called pariage, and a culture of strong property rights and municipal self-governance. Based on archival research, Sicard's 1952 thesis has been translated into English with an introduction that places the work in the context of new institutional economics and legal theory. It is an important contribution to research on the history and legal origins of the corporation.

In the first half of the seventeenth century the Dutch Republic emerged as one of Europe's leading maritime powers. The political and military leadership of this small country was based on large-scale borrowing from an increasingly wealthy middle class of merchants, manufacturers and regents This volume presents the first comprehensive account of the political economy of the Dutch republic from the sixteenth to the early nineteenth century. Building on earlier scholarship and extensive new evidence it tackles two main issues: the effect of political revolution on property rights and public finance, and the ability of the nation to renegotiate issues of taxation and government borrowing in changing political circumstances. The essays in this volume chart the Republic's rise during the seventeenth century, and its subsequent decline as other European nations adopted the Dutch financial model and warfare bankrupted the state in the eighteenth century. By following the United Provinces's financial ability to respond to the changing national and international circumstances across a three-hundred year period, much can be learned not only about the Dutch experience, but the wider European implications as well.
