La operación de reemplazo es una vía alternativa de satisfacción del interés del acreedor a través de un tercero, ante el incumplimiento del contrato. Con ella, el acredor, de manera razonable y extrajudicialmente, acude al mercado para sustituir la prestación del deudor. En consecuencia, el acreedor podrá reclamar al deudor la diferencia (desfavorable) entre el precio de la operación de reemplazo y el establecido en el contrato. Esta obra explora las posibilidades de aplicación de la operación de reemplazo en el Ordenamiento español, que la incorporó a partir de la entrada en vigor de la Convención de Viena sobre Compraventa Internacional de Mercaderías de 1980. Esta figura fue adoptada por dicho instrumento internacional por influencia del Derecho anglosajón, más específicamente, del Derecho estadounidense. Después de un análisis detallado del Derecho inglés y estadounidense, junto con su prolífera casuística, este libro propone una adopción de la operación de reemplazo, bajo el criterio indemnizatorio y los presupuestos de razonabilidad y buena fe, como un método de cuantificación anticipada del daño, lo cual, como se estudia, no es incompatible con los sistemas de Derecho continental, como el español. Lo anterior, teniendo en cuenta que la operación de reemplazo supone un elemento fundamental en la modernización del Derecho de Contratos. This edition of the World Bank has been revised and expanded by the Terminology Unit in the Languages Services Division of the World Bank in collaboration with the English, Spanish, and French Translation Sections. The Glossary is intended to assist the Bank's translators and interpreters, other Bank staff using French and Spanish in their work, and free-lance translator's and interpreters employed by the Bank. For this reason, the Glossary contains not only financial and economic terminology and terms relating to the Bank's procedures and practices, but also terms that frequently occur in Bank documents, and others for which the Bank has a preferred equivalent. Although many of these terms, relating to such fields as agriculture, education, energy, housing, law, technology, and transportation, could be found in other sources, they have been assembled here for ease of reference.
