Updated as of May 29, 2018 The Office of the Comptroller of the Currency (OCC) is combining certain rules originally issued jointly with the other Federal banking agencies by the OCC with respect to national banks and by the former Office of Thrift Supervision (OTS) with respect to savings associations. Specifically, the OCC is combining rules relating to consumer protection in insurance sales, Bank Secrecy Act (BSA) compliance, management interlocks, appraisals, disclosure and reporting of Community Reinvestment Act (CRA)-related agreements, and the Fair Credit Reporting Act (FCRA). This rulemaking also makes technical amendments to the OCC's FCRA rule to conform to provisions of the Dodd-Frank Wall Street Reform and Consumer Protection Act (Dodd-Frank Act or Act). This rulemaking will not result in any substantive changes in the combined rules. It will, however, streamline OCC rules, reduce duplication, and create efficiencies by establishing a single set of these rules for all entities supervised by the OCC. This booklet of the Comptroller's Licensing Manual provides the OCC's policies and procedures regarding the conversion of certain types of depository institutions to a national bank or a federal savings association (FSA).Under applicable federal and state law, certain types of depository institutions may convert to a national bank or a federal savings association (FSA). These types of institutions include commercial banks, state banks, state savings associations (mutual form or stock form), trust companies, and credit unions. A stock depository institution may convert to a stock FSA or national bank charter, and a mutual depository institution or a credit union may convert to a mutual FSA. An FSA may convert to a national bank, and a national bank may convert to an FSA. For information on FSAs electing to operate as covered savings associations (CSA) under section 206 of the Economic Growth, Regulatory Relief, and Consumer Protection Act, refer to OCC Bulletin 2019-31, "Covered Savings Associations Implementation: Covered Savings Associations."A depository institution seeking to convert to a national bank or FSA must submit an application and obtain prior approval of the Office of the Comptroller of the Currency (OCC). In addition, a depository institution must include information in the application demonstrating compliance with applicable laws and regulations regarding the permissibility, requirements, and procedures for conversions, including any applicable stockholder or account holder approval requirements.If the OCC approves the conversion, the institution may not commence business as a national bank or FSA until the OCC grants authorization and issues a federal charter. In addition, the OCC does not grant approval to a national bank or FSA with a parent holding company until the Board of Governors of the Federal Reserve System (FRB) has approved any applications filed by the holding company.

Updated as of May 29, 2018 The Office of the Comptroller of the Currency (OCC) is amending its regulation governing lending limits for national banks to consolidate the lending limit rules applicable to national banks and savings associations and remove its separate regulation governing lending limits for savings associations. The OCC also is amending its rules to implement section 610 of the Dodd-Frank Wall Street Reform and Consumer Protection Act, which amends the statutory definition of "loans and extensions of credit" to include credit exposures arising from derivative transactions, repurchase agreements, reverse repurchase agreements, securities lending transactions and securities borrowing transactions. Pursuant to the OCC's authority in section 5200(d) of the Revised Statutes, the OCC is amending the lending limit rules to provide a temporary exception for the transactions covered by section 610 until January 1, 2013, in order to allow institutions a sufficient period to make adjustments to assure compliance with the new requirements.
