This book is address to the students of GAP and ADE degrees. It contains the two following subjects: Contracts and Companies (GAP) and Commercial Law (ADE). And it adjusts perfectly to the requirements of its study exigences, 100%. That is the reason why it follows an unusual order among mercantilists, since it brings together content that usually appears in different volumes. Thus, students will have in their hands all the theoretical content of the subject, and it will be essential for them whether they follow the subject physically attending classes or remotely, through the virtual modality of the GAP degree. The study plans for these degrees have minimal legal content, I would even say ridiculous. At GAP they do study law in other subjects, but only public law, never private. That is why the manual begins with an introductory topic 1 on the historical origin and concept of commercial law. The topic is explained at length because it is essential and would not be understood otherwise. Topic 2, on the concept

I present a new edition of the work corrected and updated. The main novelty is that, on this occasion, I have decided to incorporate some solved cases in a summarized way at the beginning of each block. I have sought to make it easier for students to follow the subject, also remotely, since the solutions in the script will serve them as a guide. I have to say that the book is intended to be used in face-to-face classes. Those that appear as responses to the cases are not exhaustive, of course. I always seek to encourage dialogue, to encourage participation to enrich learning. Public speaking is a skill (transversal competence in the curriculum) that can only be acquired with practice and, for this, the approach of this work is ideal. This manual is made up of different types of practices: some are short questions, which aim to help the students to detect whether they have assimilated the knowledge in question, or perhaps it is not as clear as they thought. Others consist of reading an article of interest, and then answering to a questionnaire. In this case, the purpose is to make deeper the knowledge of the students about some particularly complex topic, that require a more leisurely reflection due to their difficulty. For students of non-legal degrees, it is especially important, in order to achieve a broader and more versatile vision of law.

This fully updated new edition provides an overview of the law regarding companies, business organizations, and capital markets in Europe, at both the European Union (EU) and Member State levels. It introduces the reader to the EU harmonization programme and describes how this has influenced corporate law in the various EU Member States. The authors describe common denominators as well as differences in the approach of national corporate laws. The authors highlight current and emerging trends in these areas of corporate law, including: the freedom of establishment of companies within the EU; the European harmonization process and Member States’ implementation of EU legislation; employee involvement in business organizations; the division of power between the different corporate bodies; the functioning and regulation of company groups; and cross-border business combinations, takeovers and restructuring tools. The laws of France, Germany and the Netherlands in particular are discussed and contrasted. This discussion also includes the United Kingdom, although no longer an EU Member State. As in earlier editions, the authors demonstrate that analysis and comparison of national corporate laws yield highly valuable general principles and observations, not least because business organizations, wherever located, tend to show a fundamentally similar set of legal characteristics. The Fourth Edition will continue to be of great value to practitioners and academics who wish to acquire a better understanding of European corporate law, in its supranational dimension as well as in the similarities and differences among the various national legal systems. It can also be used as a handbook for comparative corporate law courses.

Company law is undergoing fundamental change in Europe. All European countries have undertaken extensive reform of their company legislation. Domestic reform has traditionally been driven by corporate failures or scandals. Initiatives to make corporate governance more effective are a feature of recent European law reform, as are measures to simplify and ease burdens on smaller and medium-sized businesses (SMEs). An increasing EU harmonisation is taking place through the Company Law Directives, and the free movement of companies is also facilitated by the case law of the European Court of Justice on the directives and the right to free movement and establishment in the EC Treaty. New European corporate forms such as the European Economic Interest Grouping (EEIG) and the European Company (SE) have added new dimensions. At a time of rapid development of EU and national company laws, this book will aid the understanding of an emerging discipline.

This fully updated new edition provides the best-known practical overview of the law regarding companies, business activities, and capital markets in Europe, at both the European Union (EU) and Member State levels. It incorporates analysis of recent developments including the impact of global initiatives in such aspects of the corporate environment as regulation of financial institutions and non-financial reporting obligations with a view to sustainability and other social responsibility concerns. The authors, all leading experts in European corporate law, describe current and emerging trends in such areas of corporate law practice as the following: - rules on cross-border mergers; - employee involvement in business activities; - the initiatives by the Organisation for Economic Co-operation and Development (OECD) and the EU to curb tax avoidance; - Member States’ implementation of EU legislation; - a company’s freedom to incorporate in a jurisdiction not its own; - competition among the legal forms of different Member States; and - safeguarding of employee involvement in cross-border transactions. With respect to national law, the laws of Belgium, France, Germany, the Netherlands, Poland, Spain, and the United Kingdom are taken into account; Italy is now included in this new edition. As in earlier editions, the authors demonstrate that analysis and comparison of national corporate laws yield highly valuable general principles and observations, not least because business organizations, wherever located, tend to show a fundamentally similar set of legal characteristics. The Third Edition will continue to be of great value to practitioners and academics who wish to acquire a better understanding of European corporate law, in its supranational dimension as well as in the similarities and differences among the various national legal systems.

Understanding the corporation means understanding its legal framework, but until recently the origins and evolution of corporate law have received relatively little attention. The topical chapters featured in this Research Handbook, contributed by leading scholars from around the world, examine the historical development of corporation and business organization law in the Americas, Europe, and Asia from the ancient world to modern times, providing an invaluable resource for both further historical research and scholars seeking the origins of present-day issues.
