This volume is a collection of ten essays in which the authors assess the contribution of the German Ordo-liberals fifty years after the founders of the liberal movement in Germany stated their aims and objectives. The Ordo-liberals were a group of liberal economic and legal thinkers in the Federal Republic of Germany who came into prominence as a result of their influence on, and participation in, post-war economic policy in the Federal Republic when Ludwig Erhard was Minister for Economic Affairs and, later, Chancellor. They became known as Ordo-liberals because of their commitment to designing the appropriate economic and legal system. The essays in this volume consider not only the philosophy of the Ordo-liberals and their concept of the social market economy, but are also concerned with the contribution of the Ordo-liberals to more practical problems. The role of the public sector, the control of mergers and monopolies and the problem of sound money are among the topics considered, as well as the views of the Ordo-liberals on the international order. Many of the authors of these essays are well known internationally and they represent a wide range of contemporary liberal thought. The book will be warmly welcomed by students and scholars interested in economic philosophy and the place of liberalism in contemporary thought. The essays in this volume have been translated from the German in order to bring to the notice of a wider public the views of a group of German liberal economic and legal thinkers. This group of economists and lawyers came into prominence as a result of their influence on, and participation in, post-war economic policy in the Federal Republic of Germany when Ludwig Erhard was Minister for Economic Affairs and, later, Chancellor. Seventeen essays have been selected to express the thoughts of the group who, because of their commitment ot designing the appropriate economic and legal order system, became known as Ordo-liberals. The essays deal with a wide range of contemporary problems, such as the control of monopolies, the problem of the welfare state and the need for self-help, the role of the trade unions in industrial societies, as well as with the more philosophical question of whether capitalist and communist systems are moving closer together in their approach to economic problems to such an extent that they will eventually converge. Traditional firm structures are currently undergoing drastic change. The changes that the traditional firm is currently undergoing will permit active involvement of labor at all levels of the firm's decision-making process, offer workers substantial job security, protect workers' firm specific investment against excessive losses, guarantee workers at least market rates of return on their human capital and will allow labor a major role in shaping the firm's work rules and the production environment. These changes pose an enormous challenge to practitioners and policy-makers alike. The difficulties of appropriately modeling the new codetermined firms are also formidable. The present collection of papers furnishes building blocks for a better analysis of complex firm structures. The present effort is designed to be a workbook, a point of departure on which new research and teaching is to be built, and a work of reference on what has already been accomplished.

Most scholarship on corporate governance in the last two decades has focused on the relationships between shareholders and managers or directors. Neglected in this vast literature is the role of employees in corporate governance. Yet "human capital," embodied in the employees, is rapidly becoming the most important source of value for corporations, and outside the United States, employees often have a significant formal role in corporate governance. This volume turns the spotlight on the neglected role of employees by analyzing many of the formal and informal ways that employees are actually involved in the governance of corporations, in U.S. firms and in large corporations in Germany and Japan. Examining laws and contexts, the essays focus on the framework for understanding employees' role in the firm and the implications for corporate governance. They explore how and why the special legal institutions in German and Japanese firms by which employees are formally involved in corporate governance came into being, and the impact these institutions have on firms and on their ability to compete. Roe, professor of business regulation and director of the Sloan Project on Corporate Governance at Columbia Law School, is the author of Strong Managers, Weak Owners: The Political Roots of American Corporate Finance (Princeton, 1996).

Modern corporations contribute to a wide range of contemporary problems, including income inequality, global warming, and the influence of money in politics. Their relentless pursuit of profits, though, is the natural outcome of the doctrine of shareholder primacy. As the consensus around this doctrine crumbles, it has become increasingly clear that the prerogatives of corporate governance have been improperly limited to shareholders.
